To Begin And Get A Quote:

I Need Your Financials for the Full Year

Hi ####,

It is very rare for us to perform an appraisal with financials only covering a 6 month period. When we do, we multiply the 6-month value by two, which in our experience, is not as accurate. (Given year-end accounting entries and adjustments, business seasonality, and various non-uniform transactions)

A benefit to financials covering the full year is that they can be matched to the full-year tax returns, adding to the accuracy of the appraisal. Our goal is to perform an accurate appraisal.

In the case of a pending outside transaction, such as a business acquisition, I would highly suggest we do this appraisal based on financials covering a full year. A buyer is likely to be more comfortable with a full-year analysis.

Any anomalies are typically better to be brought up in negotiations.

I have been working on your appraisal. I have come up with some questions:

  1. 1. Per Statement 3 on the 2018 tax return, which lists other tax deductions. What amount (or percentage), if any, of each expense was for personal use?
  2. 2. Schedule L of the 2018 tax return shows $118,214 as a liability, a Frances Cohen shareholder loan. Will this loan continue with the sale of shares?
  3. 3. What is the general condition of your equipment?
  4. 4. What percentage of meals & entertainment were for personal use?
  5. 5. Are employer-paid taxes included in the $##,#### of officer expenses?
  6. 6. Is the expense for XXXX a one-time expense?
  7. 7. What percentage of the $##,#### 2018 expense for ###### was for officer personal use?
  8. 8. What percentage of charitable deductions/donations, if any, were business development type of activities?
  9. 9. Per the $##,#### expense for XXXXXX. Please explain this expense. Is this an expense that will continue to the new owner of the business?
  10. 10. Per the $##,#### expense for ###### . What amount, if any, of insurance costs will not be transferred to the new owner of the business?

  15. 15. What company percentage does the shareholder hold?
  16. 16. What YYYY personal-type expenses are attributable to the shareholder? Examples of personal-type expenses are car allowance, home internet, mobile phone, health benefits, insurance expense, and entertainment.
  17. 17. If the shareholder is or was taking a salary, what was the annual salary amount?
    • 17.1. I’d like to know the purpose of the appraisal as far as what do you foresee will happen to your company. Are you selling the company? Or maybe the purpose is for tax reasons?
    • 17.2. What amounts, if any, of auto expenses, are for personal use of officers or employees?
    • 17.3. Will the auto loans and SBA loan be paid off?
    • 17.4. What amounts, if any, of the $17,407 telephone expenses are for personal use of officers or employees?
    • 17.5. What amounts, if any, of the travel & entertainment expenses are for personal use of officers or employees?
    • 17.6. What percentage of accounts receivable are collectible, in your estimation?
    • 17.7. What is the current, fair market value, of the land? It is shown on your balance sheet at $78,000.
    • 17.8. What is the current, fair market value, of the buildings? They are shown on your balance sheet at $312,000.
    • 17.9. Will any cash be transferred?

Appraisal Draft – Amount Lower Than Expected

Attached is the draft appraisal for your review. The appraisal amount is under the amount you were hoping for. This usually means that there is some other value to the buyer that is not able to be reflected in the financial statements. This is very common. You would use the appraisal as a baseline value, and not as the negotiated value of the business.

In other words, the negotiation would go like this: “here is the appraisal which shows a base value of _____, our asking-price is higher based on the following factors…

Again this is very common in business acquisitions. Common factors which can cause the actual sale-value to be higher than our appraisal-value are things such as strategic value to the buyer, goodwill, personnel and knowledge capabilities included in the business.

If this looks good, please email me back with your approval and then please send final payment, either by check or credit card. As soon as the final payment is received, I will send a final digital copy with no watermark, and mail you the final hard copy.
